Applicability

Deze Advertentievoorwaarden zijn van toepassing op alle advertentiediensten van MySecretCrush, een handelsnaam van Langhoor Marchal Consultancy, gevestigd te Maastricht (KvK 88375692, btw NL004594074B45), aan de zakelijke adverteerder ("Adverteerder"). De diensten worden uitsluitend zakelijk (B2B) geleverd; consumentbeschermende bepalingen zijn niet van toepassing. Inkoop- of andere voorwaarden van Adverteerder worden van de hand gewezen.

These Advertising Terms apply to all advertising services of MySecretCrush, a trade name of Langhoor Marchal Consultancy, established in Maastricht, the Netherlands (Chamber of Commerce 88375692, VAT NL004594074B45), to the business advertiser ("Advertiser"). The services are provided on a business (B2B) basis only; consumer-protection provisions do not apply. The Advertiser's purchasing or other terms are rejected.

1. Definities

In deze voorwaarden betekent Advertentie het door u aangeleverde materiaal (logo, tekst/tagline, afbeelding en doellink) dat via de Dienst wordt vertoond; Dienst de exclusieve bannerplaatsing op het radarscherm van de MySecretCrush mobiele app; Impressie één server-side geregistreerde vertoning van de Advertentie; Impressiepakket het gekozen pakket met een vast aantal Impressies; en Rapport de door MySecretCrush verstrekte prestatierapportage (periodiek én eindrapport).

In these terms, Ad means the material you supply (logo, text/tagline, image and destination link) shown through the Service; Service the exclusive banner placement on the radar screen of the MySecretCrush mobile app; Impression one server-side recorded display of the Ad; Impression Pack the chosen pack with a fixed number of Impressions; and Report the performance reporting provided by MySecretCrush (periodic and final).

MySecretCrush biedt exclusieve bannerplaatsing op het radarscherm van de MySecretCrush mobiele app. Er is maximaal één actieve adverteerder tegelijkertijd per slot. MySecretCrush bepaalt naar redelijkheid de technische wijze, plaatsing en weergave van de Advertentie.

MySecretCrush offers exclusive banner placement on the radar screen of the MySecretCrush mobile app. There is a maximum of one active advertiser per slot at any time. MySecretCrush reasonably determines the technical manner, placement and display of the Ad.

3. Impressiepakket

3. Impression Pack

U koopt eenmalig het in het gekozen pakket vermelde aantal Impressies. Deze worden volledig geleverd vanaf de startdatum totdat het totaal is bereikt — er is geen vaste einddatum. De leversnelheid hangt af van het aantal actieve gebruikers en kan variëren. Impressies worden server-side geteld en gerapporteerd.

You purchase, one-time, the number of Impressions stated in the chosen pack. These are delivered in full from the start date until the total is reached — there is no fixed end date. Delivery speed depends on the number of active users and may vary. Impressions are counted server-side and reported.

4. Totstandkoming & activering

4. Formation & activation

De overeenkomst komt tot stand op het moment dat de betaling is ontvangen. De campagne gaat live direct na ontvangst van de betaling, of op de door u gekozen startdatum. Aanlevering van correct en beleidsconform materiaal is voorwaarde voor activering.

The agreement is formed when payment is received. The campaign goes live right after payment is received, or on your chosen start date. Delivery of correct, policy-compliant material is a condition for activation.

5. Prijzen, facturering & betaling

5. Prices, billing & payment

Betaling is eenmalig per Impressiepakket en wordt vooraf voldaan via Stripe (iDEAL, creditcard of SEPA-bankoverschrijving). Er is geen maandelijkse facturering. Alle prijzen zijn in euro's en inclusief 21% btw, tenzij anders vermeld; de btw wordt op de factuur gespecificeerd. De factuur wordt via Stripe verstrekt.

Payment is one-time per Impression Pack, paid up front via Stripe (iDEAL, credit card or SEPA bank transfer). There is no monthly billing. All prices are in euros and include 21% VAT unless stated otherwise; the VAT is specified on the invoice. The invoice is issued via Stripe.

6. Geen consumentenherroeping

De Dienst wordt uitsluitend zakelijk (B2B) geleverd. Het wettelijke herroepingsrecht voor consumenten is niet van toepassing. Voor zover vereist stemt u ermee in dat MySecretCrush direct na de totstandkoming met de uitvoering aanvangt.

The Service is supplied on a business (B2B) basis only. The statutory consumer right of withdrawal does not apply. To the extent required, you agree that MySecretCrush begins performance immediately after formation of the agreement.

7. Advertentiemateriaal & vereisten

U levert het materiaal aan conform de specificaties: logo PNG/JPG/SVG, min. 200×200px; tagline max. 60 tekens; doellink een werkende HTTPS-URL. U bent verantwoordelijk voor de juistheid, actualiteit en rechtmatigheid van het materiaal.

You supply material to the specifications: logo PNG/JPG/SVG, min. 200×200px; tagline max. 60 characters; destination link a working HTTPS URL. You are responsible for the accuracy, currency and lawfulness of the material.

8. Contentbeleid & garanties

U garandeert dat de Advertentie en de bestemming waarnaar wordt gelinkt: (a) niet aanstootgevend, pornografisch of seksueel getint, gewelddadig, haatzaaiend of discriminerend zijn; (b) geen gokken, cryptovaluta, concurrerende datingdiensten of juridisch twijfelachtige producten of diensten betreffen; (c) niet misleidend, bedrieglijk of oneerlijk zijn; (d) geen inbreuk maken op rechten van derden en overigens niet onrechtmatig of ongewenst zijn; en (e) voldoen aan alle toepasselijke wet- en regelgeving, waaronder de Nederlandse Reclame Code, het EU-recht en de Digital Services Act (DSA). U garandeert dat u over alle benodigde rechten beschikt. MySecretCrush oefent geen redactionele controle uit; plaatsing houdt geen goedkeuring in.

You warrant that the Ad and the destination it links to: (a) are not offensive, pornographic or sexual, violent, hateful or discriminatory; (b) do not concern gambling, cryptocurrency, competing dating services or legally questionable products or services; (c) are not misleading, deceptive or unfair; (d) do not infringe third-party rights and are otherwise not unlawful or unwanted; and (e) comply with all applicable laws, including the Dutch Advertising Code, EU law and the Digital Services Act (DSA). You warrant that you hold all necessary rights. MySecretCrush exercises no editorial control; placement does not imply approval.

9. Weigering, opschorting & beëindiging

9. Rejection, suspension & termination

MySecretCrush mag advertentiemateriaal weigeren, een campagne opschorten of met onmiddellijke ingang beëindigen en de Advertentie verwijderen, met of zonder kennisgeving, bij (vermoedelijke) strijd met het contentbeleid of de wet, of bij klachten. Afkeuring vóór livegang op grond van het contentbeleid geeft recht op volledige terugbetaling. Beëindiging wegens schending ná livegang geeft geen recht op terugbetaling; het volledige bedrag blijft verschuldigd. Zodra de campagne live is, vindt buiten deze gevallen geen terugbetaling plaats en wordt het volledige pakket geleverd.

MySecretCrush may reject material, suspend a campaign, or terminate it with immediate effect and remove the Ad, with or without notice, upon (suspected) breach of the content policy or the law, or upon complaints. Rejection before going live on content-policy grounds entitles you to a full refund. Termination for breach after going live gives no right to a refund; the full amount remains payable. Otherwise, once the campaign is live, no refund is issued and the full pack is delivered.

10. Intellectueel eigendom & licentie

U verleent MySecretCrush een niet-exclusieve, royaltyvrije licentie om het materiaal te gebruiken en te vertonen voor de duur van de campagne. Alle intellectuele-eigendomsrechten op de app, de Dienst en de rapportages berusten bij MySecretCrush.

You grant MySecretCrush a non-exclusive, royalty-free licence to use and display the material for the duration of the campaign. All intellectual-property rights in the app, the Service and the reports vest in MySecretCrush.

11. Prestatierapportage & bewijs

11. Performance reporting & evidence

MySecretCrush rapporteert de statistieken (Impressies en kliks) periodiek per e-mail en verstrekt een eindrapport zodra alle Impressies zijn geleverd. Partijen komen overeen dat deze rapporten gelden als bindend en beslissend bewijs (bewijsovereenkomst, art. 153 Rv) van de geleverde Impressies en kliks, met uitsluiting van ander bewijs. De levering wordt aangetoond met deze rapporten en niet met onderliggende gebruikers- of ruwe data, die vertrouwelijk en geaggregeerd blijven. Tegenbewijs is uitgesloten, behoudens kennelijke fouten in het rapport.

MySecretCrush reports the statistics (Impressions and clicks) periodically by email and provides a final report once all Impressions are delivered. The parties agree that these reports constitute binding and conclusive evidence (an evidentiary agreement, art. 153 Dutch Code of Civil Procedure) of the Impressions and clicks delivered, to the exclusion of other evidence. Delivery is proven by these reports and not by any underlying user or raw data, which remain confidential and aggregated. Evidence to the contrary is excluded, save for manifest errors in the report.

12. Aansprakelijkheid

12. Liability

Impressies worden gegarandeerd geleverd zoals gemeten door MySecretCrush; kliks en conversies worden niet gegarandeerd. MySecretCrush is niet aansprakelijk voor uw commerciële resultaten. Aansprakelijkheid is beperkt tot directe schade en tot ten hoogste het voor de campagne betaalde bedrag; indirecte schade (waaronder gederfde winst) is uitgesloten. Deze beperkingen gelden niet bij opzet of bewuste roekeloosheid van MySecretCrush.

Impressions are guaranteed as measured by MySecretCrush; clicks and conversions are not guaranteed. MySecretCrush is not liable for your commercial results. Liability is limited to direct loss and to at most the amount paid for the campaign; indirect loss (including lost profit) is excluded. These limitations do not apply in the event of intent or wilful recklessness of MySecretCrush.

13. Vrijwaring

13. Indemnification

U vrijwaart MySecretCrush voor alle aanspraken van derden en toezichthouders (waaronder boetes) die verband houden met uw materiaal, de bestemming waarnaar wordt gelinkt of uw handelen, en vergoedt de daarmee samenhangende kosten, waaronder redelijke kosten van rechtsbijstand.

You indemnify MySecretCrush against all claims of third parties and regulators (including fines) relating to your material, the destination it links to, or your conduct, and reimburse the associated costs, including reasonable legal-assistance costs.

14. Overmacht

14. Force majeure

Bij overmacht (waaronder storingen in netwerken of diensten van derden, cyberaanvallen en overheidsmaatregelen) worden de verplichtingen opgeschort; de levering van resterende Impressies wordt hervat zodra dit redelijkerwijs mogelijk is.

During force majeure (including failures in networks or third-party services, cyber-attacks and government measures) the obligations are suspended; delivery of remaining Impressions resumes as soon as reasonably possible.

15. Privacy & gegevensbescherming

15. Privacy & data protection

MySecretCrush verwerkt persoonsgegevens van app-gebruikers als verwerkingsverantwoordelijke conform de AVG. U ontvangt uitsluitend geaggregeerde statistieken; er worden geen persoonsgegevens van gebruikers met u gedeeld. Elke partij voldoet aan haar eigen AVG-verplichtingen.

MySecretCrush processes app users' personal data as controller in accordance with the GDPR. You receive aggregated statistics only; no users' personal data is shared with you. Each party complies with its own GDPR obligations.

16. Vertrouwelijkheid

Partijen behandelen niet-openbare informatie vertrouwelijk en gebruiken deze uitsluitend voor de uitvoering van de overeenkomst.

The parties treat non-public information as confidential and use it solely to perform the agreement.

17. Wijziging van de voorwaarden

17. Changes to the terms

MySecretCrush kan deze voorwaarden wijzigen. Op een reeds tot stand gekomen campagne blijft de versie van toepassing die gold bij totstandkoming; die versie is aan uw bevestigingsmail toegevoegd.

MySecretCrush may amend these terms. For a campaign already formed, the version in force at formation continues to apply; that version is attached to your confirmation email.

18. Overige bepalingen

18. Miscellaneous

Is een bepaling nietig, dan blijven de overige bepalingen van kracht en wordt zij vervangen door een geldige bepaling die de strekking zo veel mogelijk benadert (art. 3:41 BW). Overdracht van rechten en verplichtingen vereist schriftelijke toestemming. De overeenkomst en deze voorwaarden vormen de volledige afspraak.

If a provision is void, the remaining provisions stay in force and it is replaced by a valid one approximating its purport as closely as possible (art. 3:41 Dutch Civil Code). Transfer of rights and obligations requires written consent. The agreement and these terms constitute the entire understanding.

19. Toepasselijk recht & geschillen

19. Governing law & disputes

Nederlands recht is van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter te Maastricht.

Dutch law applies. Disputes are submitted to the competent court in Maastricht.
